About Sidney L. Tassin

Sidney L. Tassin has over 30 years of experience as an operating executive and private equity fund manager in the energy industry. He is a seasoned professional with a proven track record initiating, structuring and negotiating acquisition and disposition transactions; raising equity and debt capital for private companies; executing complex restructurings and recapitalizations; and working constructively with management teams and Boards of Directors.

Serving as a director for three publicly traded energy companies, including a master limited partnership and two special purpose acquisition companies;

Serving as an Investor, Director, And Advisor for a privately owned oilfield services company that increased annual revenues from $10 million to $150 million;

Investor and Director of a company developing utility-scale storage and electric grid regulation solutions;

Investor and Director of a company developing technologies to harness the power of ocean currents for electricity generation; and

Investor and Director of a company developing ocean-based desalination technologies to provide freshwater for coastal communities.

Previously Managed Companies

Energy Spectrum Capital LP

Before the formation of Carta in 2007, Mr. Tassin was President and a founding partner of Energy Spectrum Capital LP from 1996 to 2006. Energy Spectrum managed over $700 million of institutional capital in four private equity funds during those ten years. Through these private equity funds, Energy Spectrum invested in 24 portfolio companies in the energy industry’s midstream, oilfield service, and renewable sectors. Tassin served on the boards of directors of numerous Energy Spectrum portfolio companies during this period.

As president, Mr. Tassin was responsible for the overall implementation of Energy Spectrum’s private equity investment program. His roles included:

Sourcing potential investments;

Negotiating, structuring and executing investment transactions;

Maintaining ongoing relationships with the management teams of portfolio companies; and

Monitoring the investment portfolio and ultimately participating in exit transactions.

MESA Inc.

Before co-founding Energy Spectrum, Mr. Tassin held executive financial positions with MESA Inc. (the oil and gas firm founded by Boone Pickens) and its predecessor companies from 1980 to 1994, including serving as chief financial officer from 1988 to 1994. Mr. Tassin led numerous investment, acquisition, financing, and recapitalization transactions throughout this period. These transactions included:

Activist investments that led to corporate restructurings or sale of Cities Service Company, Gulf Oil Corporation, Phillips Petroleum, Unocal Corporation and Newmont Mining;

Acquisitions of Pioneer Natural Gas and significant oil and gas assets from Tenneco Inc. and others;

Issuances of common and preferred equity and partnership equity interests;

Public and private senior and subordinated debt issuances;

Joint ventures and partnerships for Investments and Operations; and

Exchange offers and recapitalizations

Through these transactions and numerous others, Mr. Tassin gained valuable experience evaluating complex assets and business structures and dealing with multiple operating and financial issues.
